These Agency Terms govern the use of Mirox by an agency, consultancy or service provider managing Amazon advertising on behalf of client accounts it does not own ("you", "the Agency"). They are entered into with Mirox, LDA (NIPC PT517994160), a company registered in Portugal with registered office in Castelo Branco. Full statutory information is published in the Legal Notice.
These terms supplement the Terms of Service
Our Terms of Service and our Data Processing Agreement apply to you in full and are incorporated here by reference — including governing law, limitation of liability, the reverse-engineering restriction, and the treatment of Amazon Information. These Agency Terms add what is specific to managing accounts belonging to other people, and prevail over the Terms of Service only where the two directly conflict.
1. Acceptance
You accept these Agency Terms when you register an agency organisation on Mirox. We record the version you accepted, the date, and the account that accepted it. Where you and Mirox have signed an Order Form or other written commercial agreement, that document prevails over these terms to the extent of any conflict.
2. Your organisation and your clients
An agency organisation holds one client workspace per Amazon selling account you manage, and one login per member of your staff. Every client workspace in your organisation receives the entitlements of your organisation's tier — product limits, marketplace limits, support response times and API access. The tier applies to all of your clients equally; individual clients cannot be placed on different tiers.
Client workspaces are kept separate from one another. Data from one client account is never exposed to another client, and is used only to manage the account it came from.
3. What you are billed for
You are billed per connected client account, per month, at the rates set out in your invitation or Order Form. Rates are graduated: successive bands apply as your client count grows, and your invoice is the sum across bands rather than the lowest band applied to every client.
A client account is connected when it holds a valid Amazon authorisation granted to Mirox. Creating a client workspace, or sending a client an invitation they have not yet accepted, is free. If a client's authorisation is revoked or expires, that client stops counting from the next billing event.
Minimum billable clients
Your agreement states a minimum number of billable client accounts. If you have fewer connected clients than that minimum, you are billed for the minimum. Stated plainly: an agency on a minimum of five, with two connected clients, pays for five. The minimum is what makes per-client agency rates lower than a direct seller's subscription, and it is shown to you before you accept these terms.
4. When and how you pay
- In advance. Each billing period is invoiced at its start, based on your connected client count at that moment. This follows Section 5 of the Terms of Service.
- Increases apply immediately. A client who connects part-way through a period is charged from the day they connect, pro-rated for the remainder of that period.
- Decreases apply at your next renewal. A client who disconnects part-way through a period does not generate a mid-period credit. Your billable count drops, and the lower amount is invoiced at your next renewal.
- Collection. By default the payment method on file is charged automatically. Where your agreement provides for invoicing on payment terms, we issue an invoice due within the number of days stated in that agreement.
- Currency and VAT. Euro, exclusive of VAT, on the terms set out in the Terms of Service. Reverse charge applies to valid B2B EU VAT IDs.
- Failed payment. If an invoice fails, live bidding across your client accounts stops immediately. Paid features are retained for a short grace period before your organisation resolves to the free tier.
5. Your authority over client accounts
You warrant that you are authorised
For every client account you connect, you represent and warrant that the account holder has authorised you to connect it to Mirox and to manage their advertising through it, and that your agreement with that client permits it. When you connect a client, Mirox reads that seller's advertising and sales data and, outside Simulation Mode, makes changes in their live advertising account.
You agree to stop managing a client account through Mirox when your authority to do so ends, and to offboard that client promptly. If an account holder informs us that they did not authorise your access, we may suspend the affected client workspace while the matter is resolved.
You are responsible for the constraints you configure on each client account — target metrics, maximum bids, daily budgets and kill switches — and for the resulting ad spend, on the same basis as any customer under Section 3 of the Terms of Service.
6. Data protection and the processing chain
Where you manage a client account, that client is the Controller of the personal data and Amazon Information in their account, you act as Processor, and Mirox acts as Sub-processor on your instructions. Our Data Processing Agreement governs that processing, and you warrant that your agreement with each client permits the engagement of Mirox as a Sub-processor.
Data obtained from Amazon's Selling Partner API and Advertising API is subject to Amazon's Data Protection Policy and Acceptable Use Policy, and the restrictions in the DPA flow through to you. In particular, Amazon Information from one client account may not be used to benchmark, advise or optimise another client account in any way that identifies its source, disclosed to any third party, or used to train models.
7. Client read access
You may give a client a read-only login to their own workspace. That is your decision, taken per client, and such a login does not count against any seat limit in your agreement. A client granted read access sees only their own account and can make no changes to it. You remain responsible for the accuracy of what you represent to your clients about the Service.
8. Offboarding and client data
Offboarding a client revokes the Amazon authorisation, stops all automated activity on that account, takes it out of live mode and removes it from your portfolio. It does not delete that client's historical data. Ending an engagement and erasing a record are separate decisions: erasure is requested separately and is handled under our Privacy Policy and the deletion timelines in the DPA.
9. Seats
Your agreement may state a maximum number of people with access to your organisation. Adding a seat beyond that maximum is refused until an existing seat is revoked. Client read-access logins are not seats.
10. Term and cancellation
Your subscription renews each billing period until cancelled. Cancellation takes effect at the end of the period already paid for, and no in-period amount is refunded, consistent with Section 4 above and Section 5 of the Terms of Service. On termination, Mirox stops all API interaction with your client accounts immediately.
11. Changes to these Agency Terms
We may publish revised Agency Terms under a new version. Material commercial changes — price bands, the billable minimum, or the pro-ration rules in Section 4 — take effect at your next renewal following at least 30 days' notice, not immediately. The version you accepted is recorded against your organisation and continues to govern until you accept a newer one.
